1. Agreement to Terms

By accessing or using ClickWall Labs LLC's ("ClickWall," "we," "us," or "our") website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

ClickWall provides a premium mobile advertising network that connects advertisers with publishers. Our Services include, but are not limited to:

• Mobile app advertising placement and campaign management
• Publisher monetization solutions (Offerwall, Rewarded Ads, Interstitials)
• Real-time analytics, reporting, and performance tracking tools
• AI-powered campaign optimization and smart bidding
• Fraud detection and traffic quality monitoring
• API and SDK integration for app developers
• Dedicated account management and technical support

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. Account Registration & Responsibilities

To access our Services, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your account credentials confidential and secure
• Immediately notify us of any unauthorized access or security breach
• Accept responsibility for all activities occurring under your account
• Not create multiple accounts or transfer your account to others

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Advertiser Terms

If you use our Services as an advertiser, the following additional terms apply:

• You must maintain sufficient funds in your account to cover active campaign costs
• All advertising content must comply with applicable laws, regulations, and our content guidelines
• You are solely responsible for the accuracy and legality of your advertising content
• We reserve the right to reject, pause, or remove any advertising that violates our policies
• Campaign performance metrics are provided as estimates and may vary
• Minimum campaign deposit requirements apply as specified on the platform

5. Publisher Terms

If you use our Services as a publisher, the following additional terms apply:

• You must have legal rights to the applications or websites where ads are displayed
• You must not engage in any form of click fraud, impression fraud, or traffic manipulation
• You must comply with our SDK integration guidelines and technical requirements
• Revenue earned is subject to verification and fraud checks before payment
• We reserve the right to withhold payments if fraudulent activity is detected
• Minimum payout thresholds apply as specified on the platform

6. Payment Terms

• Advertisers: Must maintain sufficient funds for active campaigns. All fees are charged based on the selected pricing model (CPC, CPI, CPA)
• Publishers: Receive payments according to the agreed-upon schedule (weekly/monthly) via their selected payment method
• All payments are processed in USD unless otherwise specified
• Applicable taxes are the responsibility of the respective party
• Refunds are issued at ClickWall's sole discretion and subject to our refund policy
• Payment processing times vary by method (Wire: 3-5 business days, PayPal: 1-2 business days, USDT: Same day)
• We reserve the right to modify payment terms with 30 days' prior written notice

7. Prohibited Activities

You agree not to engage in any of the following activities:

• Generating fraudulent clicks, impressions, installs, or conversions
• Using bots, scripts, or automated tools to manipulate traffic or metrics
• Promoting illegal, harmful, defamatory, or misleading content
• Infringing on intellectual property rights of third parties
• Interfering with or disrupting the integrity of our platform
• Attempting to bypass security measures or access unauthorized data
• Sharing, selling, or transferring your account credentials
• Violating any applicable local, state, national, or international law

8. Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, data compilations, software, and the overall design — are the exclusive property of ClickWall Labs LLC and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose. This license does not include the right to modify, reproduce, distribute, or create derivative works from our content.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• ClickWall shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to the Services shall not exceed the total amount paid by you to ClickWall in the preceding 12 months
• We are not responsible for the content, accuracy, or practices of third-party services linked from our platform
• Our Services are provided "as is" and "as available" without warranties of any kind, express or implied

10. Indemnification

You agree to indemnify, defend, and hold harmless ClickWall Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any content or data you submit through the Services

11. Termination

We reserve the right to suspend or terminate your account and access to our Services, with or without notice, for reasons including but not limited to:

• Violation of these Terms of Service
• Engagement in fraudulent or suspicious activity
• Failure to maintain payment obligations
• Breach of any applicable laws or regulations
• Extended period of account inactivity (12+ months)

Upon termination, your right to use the Services will immediately cease. Any accrued obligations and applicable provisions of these Terms will survive termination.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Sheridan, Wyoming, under the rules of the American Arbitration Association (AAA).

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, through email notification. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
