This Affiliate Program Operating Agreement (the "Agreement") is made and entered into by and between ClickWall LLC ("we" or "Company" or "Us") and you, ("you" or "Affiliate") the person or party submitting an application to become a ClickWall LLC affiliate. The terms and conditions contained in this Agreement apply to your participation with the ClickWall LLC Affiliate Program. Each Affiliate Program offer (an "Offer") may be for any offering by ClickWall LLC or a third party (each such third party a "Client") and may link to a specific web site for that particular Offer ("Program Web Site"). Furthermore, each Offer may have additional terms and conditions on pages within the Affiliate Program and are incorporated as part of this Agreement. By submitting an application or participating in an Offer, you expressly consent to all the terms and conditions of this Agreement.
You must submit an Affiliate Program application via our website. Ensure accurate completion to become an affiliate, with no aliases or means to mask true identity or contact information. You agree to update such information as necessary. If you're an individual, not a trading entity, you must be over eighteen (18) years of age or over the age of majority in your jurisdiction to participate. Participation is subject to our approval, and we reserve the right to reject applications for any reason, including unsuitability of traffic sources or promotional methods. Applications linked to certain countries may be automatically rejected. Upon acceptance, login details for your Affiliate Account will be provided. You must update the password and ensure account data accuracy.
By submitting an application and using your Affiliate Account, you warrant that all provided information is accurate, and you have the authority to enter into this Agreement.
We will pay you for each Qualified Action (the "Commission"). Terms include payment scheduling, minimum balance requirements, and conditions under which commissions may be withheld or adjusted. Commissions depend on Clients providing funds to us. You release us from any claim for Commissions if funds have not been received from Clients. Payments are in USD, EUR, or GBP, based on account settings and conversion rates if necessary.
Outlines your responsibilities regarding the content on your Media, representations concerning ClickWall LLC or Clients, and compliance with laws and third-party service policies. You must maintain a privacy policy disclosing information collection, use, and sharing practices, especially related to the Affiliate Program.
You agree to keep all provided information, including business and financial details, confidential, except as necessary for participating in the Affiliate Program.
Affiliates are granted a revocable, nonexclusive right to use Links and access our website through them, with restrictions on alteration or misuse.
Terms under which either party may terminate the Agreement, including immediate termination for breach of terms.
We reserve the right to suspend or terminate your account for violations including, but not limited to, breach of terms, misuse of the brand, or irrelevant or offensive site content.
Actions we may take in response to violations, including withholding Commissions and legal action.
Compliance with the CAN-SPAM Act and related email marketing regulations is required.
Prohibitions against fraudulent activities and the consequences of such actions.
Your agreement that this document is legally binding and that you have the authority to enter this Agreement.
We may modify terms with notice, and your continued participation constitutes acceptance of changes.
Acknowledgement of understanding and agreement to the terms independently.
Your agreement to indemnify ClickWall LLC against claims related to your participation in the Affiliate Program.
Limitations on ClickWall LLC's warranties regarding the Affiliate Program and Links.
